These terms of service (“Terms”) govern the use of the application (“Service”) provided by Regov Software Limited (“Regov”, “Company”, or “We”). By using the Service, you agree that you have read, understood, and agreed to these Terms.

Registration & Your Personal Data

You are only eligible to register with us and use our application if you have legal capacity in your jurisdiction to enter into legally binding commitments. Depending on where you are located, this may mean you need to be of a certain age.

Our Service requires you to register with us and provide us with your personal data. Your privacy is important to us and we are committed to respecting your privacy at all times. We will always deal with your personal information in accordance with applicable privacy law and our Privacy Policy.

Your account is personal to you and only one individual may access the application under each username.

Use of Service

The Service is provided for the sole use of its registered users. You must provide accurate and complete registration information and keep it up to date. You are responsible for all activity that occurs under your account and shall take all measures to prevent unauthorized access to or use of the Service.

Your use of the Services must be fair, reasonable and not excessive, as reasonably determined by us in reference to an estimated typical user or other users’ actual usage of the Services.

If we, acting reasonably but in our sole discretion, consider your usage to be excessive and/or unreasonable we may immediately suspend, modify or restrict your use of the Services or withdraw your access to the Services (in full or in part) without notice to you.

Use of Cookies

We may use cookies in our Service to help us identify you when you use our application or to help us improve your experience when using our Services. If you do not accept our cookies, some pages may not operate as intended and you may not be able to access certain information on our Service.

Third Party Content

Our application may contain links to other websites. Those websites and links accessed by you are not under our control. We are not responsible for, make no representations or warranties in relation to, and do not endorse the content of those linked websites and provide them solely for your information and convenience.

Termination

If you breach any of these Terms, we may, at our sole discretion, at any time terminate or suspend all or a portion of the Service, with or without notice and with or without cause.

Fees

You are responsible for all fees and charges incurred in connection with your account (including any applicable taxes) at the rates in effect when those fees and charges are incurred. We may change the fees and charges payable, or add new fees and charges, by giving you notice in advance.

All payments made to Regov are non-refundable. In the event of a downgrade or user requested termination, the service will remain active for the duration of the paid billing period.

Unless otherwise stated, all prices are stated in United States Dollars and are exclusive of taxes (including goods and services taxes or similar charges in your jurisdiction). You are solely responsible for any taxes payable.

Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, either express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that use of the Service will be uninterrupted or error-free. Regov does not warrant that the Service will meet your requirements or that any errors in the Service will be corrected.

To the fullest extent permitted by law, we make no representation or warranty as to the accuracy, completeness, timeliness or reliability of the information provided in connection with the application and our Services, including without limitation in respect of:

• any errors, mistakes or inaccuracies;
• any act you take, fail to take, due to or in reliance on any information contained on our application or referred to by us;
• personal injury or property damage of any kind resulting from your access or use of the Services;
• any lost savings or revenue resulting from use of the Services; and
• any interruption of your use of the Services.

Limitation of Liability

To the fullest extent permitted by law, Regov, its directors, shareholders, subsidiaries and their respective shareholders, officers, employees, advertisers, content providers and licensors will not be liable in contract, tort (including negligence) or otherwise to you for any direct, indirect or consequential loss or damage arising out of or in connection with the Services.

To the extent permitted by law, and except as otherwise provided for in these Terms, we make no representations, conditions or warranties of any kind with respect to the Services.

Indemnification

You agree to indemnify, defend, and hold harmless Regov, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, assigns, content providers, and other agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of your use of the Service, or your violation of these Terms.

Intellectual Property

Our Service and its contents are protected by copyright, trademark and other intellectual property rights owned by us and our licensors. All rights are reserved to us. You may not extract, copy or otherwise reproduce any of our content (in any form) without our prior written consent.

You must not:

• use, reproduce, duplicate, reverse assemble, reverse engineer, modify, alter, adapt, disassemble, decompile or amend any such intellectual property rights or any of the underlying materials in any way, whether directly or indirectly.
• assert ownership or rights in, or exploit, sell or seek to generate profit from any of our intellectual property rights in the Services.
• copy, reproduce, republish, or distribute any content from us, for any reason whether in public, for commercial purposes or otherwise.

General

These Terms constitute the entire agreement between you and Regov with respect to the use of the Service. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect. The failure of Regov to enforce any right or provision in these Terms shall not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. In the event of any conflict between these Terms and any agreement you have entered into with the Regov, the terms of that agreement shall control.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of New Zealand, without giving effect to any principles of conflicts of law. You and we agree to the non-exclusive jurisdiction of the New Zealand courts.

Dispute Resolution

Any dispute arising out of or related to these Terms or the Service shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify.

Modification of Terms

Regov reserves the right to modify these Terms at any time. The most current version of the Terms will always be available on the Service. Your continued use of the Service after any such change constitutes your acceptance of the new Terms. If you do not agree to any of these terms or any future version of the Terms, do not use or access (or continue to access) the Service.
